This Contract for Services is made effective as of September 21, 2026, by and between [Client Company Name] of [Client Address], Tax ID/GST: [Not provided] (the “Client”), and Carbon Groundz of 8/45, Arvind Society, Anandnagar, Sinhagad Road, Pune, India –411051 (the “Agency”), collectively the “Parties.” Agency will provide the Services described below.
Relationship of Parties. The Client hires the Agency as an independent contractor; this Contract creates no partnership, joint venture, or employer-employee relationship.
Exclusivity. For the term of this Contract, the Agency has exclusive rights to market the Client's products/services within the scope below.
Reporting. Agency delivers a monthly report by the 5th of each month covering uptime, page-load times, ad spend, KPIs and next-month plan. Support tickets receive a first response within 4 business hours; critical bug fixes complete within 1 business day. Missed SLA targets earn a service credit of 5% of that month's fee.
Confidentiality. Both Parties keep all shared confidential information confidential, not used or disclosed beyond this agreement's scope, surviving termination.
Client's Obligations. Client provides technical information, collaborates on accurate/fresh content, and provides necessary login access with authorized staff.
Minimum Term. Client agrees to a minimum three-month term (SEO/campaign results mature over this window). Early termination of a monthly plan incurs full payment for the three-month term.
Termination. Client may cancel with one month's notice after the initial three-month term. Agency may terminate immediately for non-payment or non-compliance; Client remains liable for unpaid fees/services rendered.
Errors. Agency is not responsible for errors/omissions in Client-provided content but corrects them on notice (except where caused/confirmed by Client), with no liability for resulting loss.
Intellectual Property. Logos, website and social content become Client-owned once approved live and paid in full, reusable by Client; Agency retains the right to feature deliverables in its own portfolio.
Limitation of Liability. Agency's liability is limited to compensation paid for its services, with no liability for indirect/consequential damages.
Account Access. Agency may act as Client online for contracted purposes; Client provides necessary credentials, kept confidential by Agency.
Onboarding & Offboarding. On signing: credentials, brand guidelines and target metrics collected within 3 days. On termination: data exported and credentials/dashboards handed over within 5 business days.
Services — What's Included

Client-Provided Content. Client supplies all raw assets (photos, videos, copy); Agency edits and publishes. On-site shoots are arranged via third-party photographers at Client's expense.
Support, Meetings & Turnaround
Support hours: Monday to Friday, business hours in the relevant region; weekends emergency only unless on the 24/7 Emergency Support retainer. On-site strategy meetings and shoot footage are available at Momentum and Command tiers; a Standard Shoot with professional equipment is always a separately quoted add-on. Client covers travel, visa, accommodation and food for any visit or shoot, local or international, included tier or chargeable add-on alike.
Payment & Fees
Client agrees to pay Agency a monthly flat fee of $0.00, reimburse reasonable travel expenses, and pay digital media advertising costs in advance to the third-party provider. Payment via bank transfer/checkout is due in advance on the 1st of each month; prior consent is required for expenses exceeding $0.00.
Alternatively, Client may opt for discounted prepaid fees: 3 months prepaid: 10% off standalone services, 5% off bundled packages. 6 months prepaid: 20% off standalone services, 10% off bundled packages. 12 months prepaid: 30% off standalone services, 15% off bundled packages. Rate applied automatically at the prepay term selected in cart/checkout. — no refunds on any prepaid package, regardless of early termination.
Execution & Term. This Agreement binds both Parties upon signing/payment, continuing 3 months, then month-to-month until Client cancels in writing.
Governing Law. Governed by the laws of India, with Pune courts having jurisdiction. This document is the entire agreement, superseding all prior understandings; amendments require written, signed consent (electronic signatures accepted).
Authority. The signatory below certifies they are lawfully authorized to purchase services on behalf of their company.
